Service Credit Terms

  1. Service Credit Terms

These Agerta Service Credit Terms ("Terms") are an agreement between you and Wiro AI Inc. (or our affiliates) and govern your purchase, receipt, or use of any credit redeemable for our Services ("Service Credit"). Capitalized terms used but not defined in these Terms will have the meanings set forth in the agreement between you and Wiro governing your use of the applicable Services (the "Agreement").

Service Credits are issued to a single AI teammate that you hire through the Services (a "Teammate"). They come either from the monthly credit allowance included in that Teammate's monthly subscription plan, Solo or Pro (its "Plan"), or from extra credit packs bought for that Teammate. Each Teammate has its own balance of Service Credits (its "Credit Balance"), and its Service Credits may be used only to pay for that Teammate's work, including its conversations, the work it does on a schedule, and the AI model runs it uses.

  1. Modifications

We may modify these Terms at any time by posting a revised version on our website or by emailing the email associated with your account. The modified Terms will become effective upon posting or, if we notify you by email, as stated in the email message. By receiving or using any Service Credit after the effective date of any modification to these Terms, you agree to be bound by the modified Terms.

  1. Suspension and Termination

We reserve the right to suspend or terminate your use of the Services in accordance with the Agreement, including suspending or terminating the Credit Balance of any of your Teammates, in compliance with applicable law. If we cancel a Teammate's subscription as part of a suspension or termination, that Teammate stops working and the Service Credits remaining on its Credit Balance can no longer be used.

  1. No Transfers

We prohibit and do not recognize any purported transfers, sales, gifts, or trades of Service Credits. Evidence of any attempt to use, sell, or transfer Service Credits in any manner violates these Terms and may result in revocation, termination, or cancellation of the Service Credits and/or your use of the Services without refund and/or immediate suspension or termination of your account.

  1. Balance Responsibility

The Credit Balance of each Teammate is shown in that Teammate's panel in the office, and the Service Credits it has used are shown in that Teammate's work history. You are solely responsible for verifying that the proper amount of Service Credits has been added to or deducted from your balance. Your Service Credit balance is not a bank account, digital wallet, stored value account, or other payment device.

  1. Non-Refundable; Expiration

All sales of Services, including sales of prepaid Services, are final. Service Credits are not refundable except where required by law or as described in this Section. If you pay for an extra credit pack and we are unable to add its Service Credits to the Teammate's Credit Balance, we will refund that payment. Unused extra credit packs expire 180 days after the date of purchase. Unused subscription credits expire at the end of each billing period (one month) as described in Section 11.

A Teammate uses the monthly allowance included in its Plan first, and then the credits from its extra credit packs, starting with the pack that expires soonest. When a Teammate's subscription ends for any reason, the Teammate stops working, and any Service Credits remaining on its Credit Balance, including credits from unexpired extra credit packs, can no longer be used, are not moved to another Teammate, and are not refunded, except where required by law.

  1. Nature of Service Credits

Service Credits are not legal tender or currency; are not redeemable, refundable, or exchangeable for any sum of money or monetary value (except where required by law); have no equivalent value in fiat currency; do not act as a substitute for fiat currency; and do not constitute or confer upon you any personal property right. Service Credits are non-transferable and may be used only by the Teammate to which they were issued. They stay with that Teammate, including when the Teammate is shared with a team workspace, and cannot be moved to another Teammate or account.

  1. Promotional Credits

We may also offer Service Credits free of charge as part of a promotional program rather than for purchase ("Promo Service Credits"). Any Promo Service Credits are granted to a specific Teammate, may be used only by that Teammate, and may expire as stated when they are granted. Promo Service Credits will not be applied against any sales, use, gross receipts, or similar transaction based taxes that may be applicable to you.

  1. Prepaid Service Credits

We may offer the option to prepay for certain Services through the purchase of credits ("Prepaid Service Credits"). Prepaid Service Credits represent the amount you have paid in advance for use of the respective Services. Additional terms may apply to specific Services.

  1. Extra Credit Packs

Extra credit packs are purchased for a single Teammate and are added only to that Teammate's Credit Balance. Only the person who pays for a Teammate's subscription can buy extra credit packs for it. Extra credit packs are never reloaded or charged automatically; each pack is a separate purchase you make at checkout. Extra credit packs may not be available for every Plan. Unused credits from an extra credit pack expire 180 days after the date of purchase.

  1. Subscription Credits

Each Teammate's Plan (Solo or Pro) includes a monthly allowance of Service Credits for that Teammate, which is added to that Teammate's Credit Balance at the beginning of each billing period. Unused subscription credits expire at the end of each billing period (one month) and do not roll over to the next period unless otherwise specified. The monthly allowance is used before any credits from extra credit packs, as described in Section 6. When a Teammate's Credit Balance falls below the amount needed to start new work, the Teammate stops working, including any work it would do on a schedule, until extra credits are added to it or its Plan renews for the next billing period. Service Credits are never added automatically when a Teammate runs low. These credits are subject to the same terms as Prepaid Service Credits.
