Introduction
These Terms of Service ("Terms", "Terms of Service") govern your use of Agerta, including our web pages located at agerta.com and related APIs, services, and applications, operated by Wiro AI Inc., a California corporation ("Wiro", "Company", "we", "our", "us").
Agerta is the agentic office. You hire AI teammates that do the work across your tools, and you approve what matters, within the Approval Mode you choose for each teammate (see Section 10). You, or a team workspace you belong to, can hire teammates such as a Store Manager, Video Producer, Newsletter Writer, or Blog Writer (other roles may be added later). Each teammate chats with you, does work for you, and acts in the accounts you connect.
Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages. Please read it here.
Our Service Credit Terms govern your purchase and use of Service Credits. By purchasing or using Service Credits, you agree to those terms.
Your agreement with us includes these Terms, our Privacy Policy, and our Service Credit Terms (collectively, "Agreements"). You acknowledge that you have read and understood Agreements, and agree to be bound by them.
If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing [email protected] so we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use Service.

Definitions
Service means Agerta, including the agerta.com website, the Office, Teammates, the API, and related tools and applications provided by Wiro.
Office means the part of the Service that shows the Teammates of a Workspace and from which you can manage them and send Hand-offs.
Workspace means the personal workspace of your account or a team workspace that you create or join. Each Teammate works in one Workspace.
Teammate means an AI agent of a particular role, such as Store Manager, Video Producer, Newsletter Writer, or Blog Writer, that you hire through the Service on its own Plan and that runs on our agent platform. The Service may also refer to a Teammate as an "agent".
Plan means the monthly subscription plan of a Teammate, currently Solo or Pro, which sets the Teammate's price and its monthly allowance of Service Credits.
Connected Account means an account with a third-party service, such as Shopify, WooCommerce, WordPress, Google Merchant Center, Brevo, or SendGrid, that you connect to a Teammate so that it can work in that account.
Chat Channel means a way to chat with a Teammate: the web chat in the Service and, where available for that Teammate, a Telegram, Slack, or Discord channel that you connect.
Approval Mode means the setting that tells a Teammate which work it may carry out on its own and which work must wait for your approval, as described in Section 10.
Hand-off means a message you send to a Teammate from the Office, including a message you forward from another Teammate, as described in Section 11.
Model means a trained AI model, such as a language, image, video, voice, or music model, that Teammates use to do their work. Some Models are developed, hosted, or operated by third parties.
Input means any content, data, files, prompts, or other materials that you submit to the Service for processing.
Output means the content generated by the Service based on your Inputs, including content a Teammate produces.
Service Credit means a unit of credit that a Teammate uses to pay for its work in the Service, subject to the Service Credit Terms.
Credit Balance means the separate balance of Service Credits of each Teammate: the monthly allowance included in its Plan plus any extra credit packs bought for that Teammate. A Teammate's Service Credits are used only by that Teammate and are not shared with other Teammates, Workspaces, or accounts.
API means the optional developer application programming interface provided by Wiro (shown as "Developer API" in the Service) that allows you to integrate the Service into your own applications.
Customer Data means your Inputs, Outputs, and any other Content you submit, post, upload, or otherwise make available through the Service, including content a Teammate reads from or sends to your Connected Accounts and Chat Channels at your direction.

Communications
When you create an Account on our Service, we will send you emails that are needed to provide the Service, such as sign-in and verification codes, password reset codes, team invitations, and notices about your account. Our payment processor may send you receipts and invoices for your Purchases. We may also send you news or promotional messages about Agerta where applicable law allows; you may opt out of these at any time by following the unsubscribe link or by emailing [email protected].
-
Purchases and Payments
If you wish to purchase any product or service made available through Service ("Purchase"), such as a Teammate's Plan or an extra credit pack, you will complete the Purchase on the checkout page of our payment processor, Stripe. You may be asked to supply certain information relevant to your Purchase including, without limitation, your payment card details, your billing name and address, and, optionally, a tax ID. Prices are stated in US dollars. Prices shown in the Service may not include applicable taxes, which may be added at checkout.
You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
We employ the use of third-party payment processors, including Stripe, for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy. If a payment processor acts as the seller or merchant of record for a Purchase, its terms for buyers also apply to that Purchase.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.
We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.
-
Subscriptions
Each Teammate is billed as a separate subscription on its own Plan ("Subscription(s)"). You will be billed in advance on a recurring monthly basis ("Billing Cycle"), starting on the day you hire the Teammate. Payment is taken first, and the Teammate is set up after our payment processor confirms the payment. If you hire several Teammates, each one has its own Subscription and its own Billing Cycle.
At the end of each Billing Cycle, a Subscription will automatically renew under the exact same conditions unless you cancel it or Wiro cancels it. You may cancel a Teammate's Subscription from that Teammate's page in the Service. You may also be able to manage your Subscriptions and payment details through the Stripe billing portal, which you can open from the Billing page of your personal workspace, or you may contact Agerta customer support at [email protected]. A Teammate whose Subscription you cancel keeps working until the end of the Billing Cycle you have already paid for, and you may undo the cancellation from the Teammate's page before then. When the Subscription ends, the Teammate stops working and its remaining Service Credits can no longer be used. Only the person who hired and pays for a Teammate may cancel or renew its Subscription. If you delete your account, every Subscription you pay for is cancelled immediately, as described in Section 26.
A valid payment method, including credit card, is required to process the payment for your subscription. You shall provide Wiro with accurate and complete billing information, including the billing name and address requested at checkout, and a valid payment method. By submitting such payment information, you authorize Wiro and its payment processor to charge the Subscription fees of each Teammate Subscription you start to such payment instruments, including at each renewal.
If a renewal payment fails, Wiro or its payment processor may retry the payment and may ask you to update your payment method. A Teammate may keep working while a failed payment is being retried. If the payment is still not made, the Teammate's Subscription ends and the Teammate stops working.
-
Service Credits and Credit Balance
The Service uses Service Credits to pay for the work of each Teammate. Each Teammate has its own Credit Balance, made up of the monthly allowance included in its Plan and any extra credit packs bought for that Teammate, where packs are offered for its Plan. Only the person who pays for a Teammate can buy its extra credit packs. A Teammate uses its Service Credits for its work, including chat replies, work it does on its own or on a schedule, the Model runs it starts (for example, to create images or videos), and Hand-offs it receives. The number of Service Credits a piece of work uses depends on the Models and resources it uses. The monthly allowance is used first, then extra credit packs, starting with the pack that expires soonest. Service Credits are never added or charged automatically. When a Teammate does not have enough Service Credits to start new work, it stops working until credits are added or its next Billing Cycle starts.
All Service Credit purchases are final. Service Credits are not refundable except where required by law. Unused extra credit packs expire 180 days after the date of purchase. Unused subscription credits expire at the end of each billing period (one month) and do not roll over. For full terms governing Service Credits, please see our Service Credit Terms.
By saving your payment method for future use, you expressly authorize Wiro and its payment processor to initiate charges to your saved payment method for your Teammates' Subscription renewals without requiring additional authentication, to the extent permitted by applicable law. Extra credit packs are charged only when you buy one at checkout.
-
Fee Changes
Wiro, in its sole discretion and at any time, may modify the Subscription fees of Teammate Plans and the rates at which the work Teammates do uses Service Credits. Any Subscription fee change will become effective at the end of the then-current Billing Cycle of each affected Teammate. A change to credit rates applies to work done after the change.
Wiro will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to cancel the affected Subscription before such change becomes effective.
Your continued use of a Teammate after its Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
-
Refunds
All sales of Subscriptions and Service Credits are final. Subscription fees and Service Credits are not refundable except where required by applicable law or as described in this Section. Cancelling a Subscription stops its next renewal and does not refund the current Billing Cycle. Deleting your account cancels every Subscription you pay for immediately and does not refund the current Billing Cycle or any unused Service Credits. If we cannot set up a Teammate you have paid for, or cannot add an extra credit pack you have paid for, we will refund that payment. Please refer to our Service Credit Terms for complete details.

Content and Customer Data
Our Service allows you to submit Inputs and receive Outputs, as well as post, link, store, share, publish, distribute, display, or otherwise make available information, text, graphics, videos, and other material ("Content"). Inputs, Outputs, and Content are collectively your Customer Data.
You are solely responsible for every Input you submit and for all Customer Data. This responsibility includes the legality, accuracy, quality, and appropriateness of your Inputs; obtaining all rights, licenses, permissions, notices, and consents required to submit and process them; and ensuring that they do not violate these Terms, applicable law, or any privacy, publicity, intellectual property, contractual, confidentiality, or other right of any person or entity.
You are solely responsible for reviewing every Output and for every decision, action, omission, publication, distribution, display, communication, commercialization, automated process, or other use of or reliance on an Output. You must apply qualified human review where appropriate and before using an Output in any context that may affect a person's rights, health, safety, finances, employment, education, legal interests, or access to essential services.
Outputs are generated automatically by Models. Wiro does not review or approve each Output before delivery and does not endorse, adopt, or warrant any Output. To the maximum extent permitted by applicable law, Wiro assumes no responsibility or liability for any Input, Output, Customer Data, or any use of or reliance on them. This allocation of responsibility applies whether a Model is developed, hosted, or operated by Wiro or by a third party.
These responsibilities apply to every way you use the Service and its Models, including chatting with a Teammate in the web chat or in a connected Chat Channel, sending Hand-offs, work a Teammate does on its own or on a schedule, actions a Teammate takes in your Connected Accounts, API requests, and integrations. Using a Model through a Teammate, schedule, integration, or other intermediary does not shift any responsibility for Inputs, reviewing Outputs, or downstream use to Wiro.
You represent and warrant that you own or otherwise have all rights necessary for your Inputs and for any use you make of Outputs. We reserve the right to suspend or terminate accounts and remove material that violates these Terms or applicable law.
You retain any rights you have in Customer Data and are responsible for protecting those rights. The limited license Wiro receives to process Customer Data is described in Section 12.
Wiro has the right but not the obligation to monitor and edit all Content provided by users.
-
Teammates, Connected Accounts and Approvals
Connected Accounts. Teammates act in the Connected Accounts you connect to them, on your behalf and on your authority. You may connect only accounts that you are authorized to use and to let a Teammate act in, and you must comply with the terms and policies of each connected service. A Teammate uses the credentials and access you provide only to do its work for you. Where the Teammate's Connections page offers it, you can disconnect a Connected Account or Chat Channel there. You can also end a Teammate's access at any time by revoking it at the connected service (for example, by deleting the API key or removing the app), and you should do so whenever you no longer want the Teammate to have access.
Approval Modes. Each Teammate has an Approval Mode that you choose. Under "Review every change", which is the default, work the Teammate starts on its own waits for your approval before anything is published or changed. Under "Publish routine work", routine changes may be made without waiting, while the types of change you select (such as publishing a new product, changing prices or stock, deleting live content, or publishing to a new channel) still wait for your approval. Under "Publish everything", the Teammate may publish and make changes without waiting, except for any types of change you still require it to ask about. In every mode, read-only work, research, reports, previews, and drafts that are not sent or published do not need approval.
Requests Count as Approval. A request made to a Teammate in a Chat Channel counts as approval for the work requested, and the Teammate may carry it out without asking again. This includes requests from members of your Workspace and from anyone you allow to message the Teammate in a connected Chat Channel. Some Teammates ask for a separate approval before certain high-impact steps; for example, a Newsletter Writer waits for your approval in chat before it sends an email to subscribers.
Approval Modes Are Instructions, Not Guarantees. Approval Modes and the rules of a Teammate's role are instructions that the Teammate follows when it decides what to do. They are not a technical guarantee that a Teammate will never take an action without approval, and a Teammate may misunderstand a request or make mistakes. You should review the changes your Teammates make, keep backups of important data in your Connected Accounts, and use the permission settings of each connected service to limit what a Teammate can do there.
Scheduled Work. Teammates may work on schedules that you set and on schedules that are part of their role (for example, a Blog Writer may start a daily run once WordPress is connected). Scheduled work follows the Teammate's Approval Mode and uses its Service Credits.
Chat Channels. You are responsible for who can message a Teammate in the Chat Channels you connect, because their messages can instruct the Teammate and approve its work. Messages and content a Teammate sends in a Chat Channel may be seen by anyone who has access to that channel.
-
Office and Hand-offs
From the Office, you can send a Hand-off to a Teammate, including a message you forward from another Teammate. A Hand-off is delivered to the receiving Teammate as a message from you, and the receiving Teammate may act on it as a request from you under its Approval Mode. You are responsible for the content of every Hand-off you send and should review a message before you forward it.
Hand-offs are recorded in your Workspace's office log. Depending on the Workspace's settings, other members of the Workspace, the person who pays for the receiving Teammate, and Workspace admins may be able to see them. A Hand-off uses the receiving Teammate's Service Credits.
Where the Office shows information from third-party sources, such as weather, exchange rates, or news headlines, that information is provided for general information only, may be delayed, incomplete, or inaccurate, and should not be relied on for financial or other decisions.
-
Data Usage Rights
You grant Wiro a worldwide, non-exclusive, royalty-free license to use, process, store, transmit, reproduce, and technically modify Customer Data solely to the extent necessary to provide, secure, maintain, and improve the Service, create aggregated and anonymized analytics, comply with law, and exercise our rights under these Terms. Wiro will make Customer Data available to another user only when you direct or enable that sharing, except where disclosure is otherwise permitted by these Terms or required by law. Wiro will not sell your Customer Data to third parties.
Examples of sharing you direct or enable include sharing a Teammate with a team Workspace, whose members may then see that Teammate's shared conversations and the Workspace's office log according to the Workspace's settings, and a Teammate sending or publishing content to the Connected Accounts and Chat Channels you connect.
-
AI Models and Third-Party Offerings
Teammates use AI Models, some of which are developed, hosted, or operated by third parties, to research, write, and create images, videos, and other content. You may be able to choose the Model a Teammate uses for a message. A Teammate can make mistakes, misunderstand a request, or misreport what it has done. You acknowledge that:
(a) AI-generated Outputs may not be accurate, complete, or reliable. You are solely responsible for evaluating and verifying the accuracy and appropriateness of any Output before relying on it.
(b) You decide whether and how to use an Output and are solely responsible for all downstream use, including publication, distribution, communication, commercialization, reliance, and actions performed by software, workflows, agents, or other automated systems.
(c) Models and Outputs are provided "as is." Wiro does not guarantee the accuracy, completeness, reliability, originality, legality, availability, safety, or fitness of any Output for any purpose and does not endorse or adopt an Output merely because it was generated through the Service.
(d) Outputs must not be used as a substitute for professional advice, including legal, medical, financial, employment, or safety advice. You are responsible for obtaining appropriate professional and human review.
(e) Third-party Models may be subject to additional terms and conditions imposed by their respective providers. You agree to comply with all such third-party terms when using third-party Models through the Service.
(f) Wiro reserves the right to add, modify, suspend, or remove Models, Teammate roles, Teammate skills, supported Connected Accounts and Chat Channels, and Office features from the Service at any time without notice.
-
Prohibited Uses
You may use Service only for lawful purposes and in accordance with Terms. You agree not to use Service:
In any way that violates any applicable national or international law or regulation.
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
To generate, distribute, or facilitate the creation of child sexual abuse material (CSAM) or any content that sexually exploits minors.
To create non-consensual intimate imagery, deepfakes, or manipulated media intended to deceive, harass, or defame individuals.

To impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity.
To send unsolicited bulk messages or spam, including emailing people without the consent or other legal basis that applicable law requires, importing contacts who have not agreed to receive your messages, removing unsubscribe links or sender identification, or otherwise violating anti-spam laws or the policies of your email or messaging provider. You are responsible for having the consent required for every contact list you use with the Service.
To create, publish, buy, or sell fake customer reviews, ratings, testimonials, or endorsements, including AI-written reviews or quotes presented as coming from a customer. Teammates are designed to refuse such requests, but you remain responsible for everything you publish.
In a way that presents a Teammate as a human, or without telling people that they are dealing with AI or with AI-generated content where applicable law requires such disclosure (for example, rules on AI interactions and synthetic media such as Article 50 of the EU AI Act). You are responsible for making any such disclosure and should not rely on the Service to add it to Outputs for you.
In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of Service, or which, as determined by us, may harm or offend Company or users of Service or expose them to liability.
Additionally, you agree not to:
Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party's use of Service.
Use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service, other than through the API and the features we provide for that purpose.

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any Model.
Use the Service or any Output to develop a competing product or service.
Otherwise attempt to interfere with the proper working of Service.

Eligibility
You may use the Service only if you are able to form a binding contract with Wiro and are not barred from using the Service under the laws that apply to you. By accessing or using the Service, you represent that you have the full authority, right, and capacity to enter into these Terms and to abide by all of their terms and conditions. If you use the Service on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms.
The Service is built for businesses and professionals and is not directed to children. We do not knowingly collect personal data from children, as described in our Privacy Policy.
-
Accounts
When you create an account with us, you guarantee that you are able to form a binding contract as described in Section 15, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Service.
You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Team Workspaces. In a team Workspace, the person who hires a Teammate pays for it and is the only person who can manage its Subscription and buy its extra credit packs. Workspace owners and admins can manage a shared Teammate's settings, Approval Mode, Connected Accounts, and Chat Channels, and Workspace members can chat with it, request work from it, and approve its work. You are responsible for the members you add to a Workspace and for the work they request from, or approve for, the Teammates you pay for or manage.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.
-
Intellectual Property
Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Wiro and its licensors. Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Wiro.
As between you and Wiro, you retain ownership of your Inputs. Subject to these Terms and any applicable third-party Model terms, Wiro assigns to you all right, title, and interest in Outputs generated by the Service based on your Inputs, to the extent such rights are assignable under applicable law.
-
Indemnification
You agree to indemnify, defend, and hold harmless Wiro and its officers, directors, employees, agents, successors, and assigns from and against any and all losses, damages, claims, actions, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your Customer Data, including any Inputs, Outputs, and Content; (c) your breach of these Terms; (d) your violation of any third-party rights, including intellectual property rights; or (e) your violation of any applicable law or regulation.
-
Error Reporting and Feedback
You may provide us directly at [email protected] with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service ("Feedback"). You acknowledge and agree that: (i) you shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback; (ii) Company may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential information or proprietary information from you or any third party; and (iv) Company is not under any obligation of confidentiality with respect to the Feedback. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Company and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose.
-
Links To Other Web Sites
Our Service may contain links to third party web sites or services that are not owned or controlled by Wiro.
Wiro has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.
YOU ACKNOWLEDGE AND AGREE THAT Wiro SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH USE OF OR RELIANCE ON ANY SUCH CONTENT, GOODS OR SERVICES AVAILABLE ON OR THROUGH ANY SUCH THIRD PARTY WEB SITES OR SERVICES.
WE STRONGLY ADVISE YOU TO READ THE TERMS OF SERVICE AND PRIVACY POLICIES OF ANY THIRD PARTY WEB SITES OR SERVICES THAT YOU VISIT.

-
Limitation Of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY CLAIM, LOSS, DAMAGE, COST, OR EXPENSE ARISING FROM OR RELATED TO: (A) ANY INPUT YOU SUBMIT; (B) ANY OUTPUT; (C) ANY DECISION, ACTION, OMISSION, PUBLICATION, DISTRIBUTION, COMMUNICATION, COMMERCIALIZATION, AUTOMATED PROCESS, OR OTHER USE OF OR RELIANCE ON AN OUTPUT; OR (D) ANY ACTION A TEAMMATE TAKES IN A CONNECTED ACCOUNT OR CHAT CHANNEL, INCLUDING ACTIONS TAKEN UNDER AN APPROVAL MODE YOU CHOSE, AT A REQUEST MADE BY YOU OR A MEMBER OF YOUR WORKSPACE, OR IN A SCHEDULED RUN. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF COMPANY, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
-
Export and Sanctions Compliance
You agree to comply with all applicable export control laws and regulations of the United States and other jurisdictions. You may not access or use the Service if you are located in, or a national or resident of, any country subject to U.S. sanctions or embargoes, or if you are on any U.S. government restricted parties list.
-
DMCA / Copyright Policy
Wiro respects copyright law and expects you to do the same. We have a policy that includes the removal of any infringing material from the Service and for the termination, in appropriate circumstances, of users of our Service who are repeat infringers.
If you believe that anything on our Service infringes a copyright that you own or control, you may send a compliant DMCA takedown notice to our Copyright Agent at [email protected]. Your notice must include: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the material that is claimed to be infringing; (c) your contact information; (d) a statement that you have a good faith belief that use of the material is not authorized; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.
-
Third-Party Models and Connected Services
Without limiting the responsibility and liability provisions in Sections 9, 10, 13, 21, and 22, Teammates use AI Models developed by Wiro and by third parties. Certain Models may be subject to additional terms and conditions imposed by their respective providers ("Additional Terms"). By using any such Model through the Service, including through a Teammate, you agree to comply with any applicable Additional Terms.
You acknowledge that: (a) Third-party Models are provided "as is" and Wiro does not control and has no liability for their functionality, accuracy, or output; (b) the development of third-party Models may have utilized materials subject to copyright or other intellectual property rights; (c) you are solely responsible for ensuring that your use of any Model and its Outputs complies with all applicable laws and third-party rights, including by human review if necessary; and (d) Wiro may add, modify, or remove third-party Models from the Service at any time without notice.
Connected Services. Each Connected Account and Chat Channel, including Shopify, WooCommerce, WordPress, Google Merchant Center, Brevo, SendGrid, Telegram, Slack, and Discord, is provided by a third party (or, for self-hosted software such as WordPress and WooCommerce, by you or your hosting provider) under its own terms and privacy policy, and is not operated by Wiro. Wiro is not responsible for those services. If a connected service changes, limits access, or becomes unavailable, a Teammate may be unable to do some or all of its work.

Termination
We may terminate or suspend your account and bar access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.
If you wish to stop paying for a Teammate, cancel its Subscription from that Teammate's page; the Teammate keeps working until the end of the Billing Cycle you have already paid for. Subscriptions keep renewing until they are cancelled, so simply discontinuing your use of the Service does not cancel them.
You can delete your account from your account settings or request deletion as described on our Data Deletion page. When your account is deleted, whether you delete it yourself or we delete it at your request, every Subscription you pay for is cancelled immediately, without a refund of the current Billing Cycle except where required by applicable law, and the Teammates you pay for stop working at once, including Teammates you have shared with a team Workspace. Their remaining Service Credits, including credits from extra credit packs, can no longer be used.
If we suspend or terminate your account, or suspend a Teammate (for example, after a chargeback, a suspected fraudulent transaction, or a breach of these Terms), the Subscriptions of the affected Teammates may be cancelled immediately and those Teammates stopped, without a refund except where required by applicable law.
All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Governing Law and Dispute Resolution
Governing Law. These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Forum. Any action arising out of or in connection with these Terms will be heard in the federal, state, or local courts in San Francisco, California and each party hereby irrevocably consents to the exclusive jurisdiction and venue of these courts.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. These Terms, together with the other Agreements identified in Section 1 and any applicable Model Additional Terms, constitute the entire agreement between us regarding the Service and supersede prior agreements on the same subject.
-
Arbitration
Binding Arbitration. Except for any claim that requires injunctive relief or relates to intellectual property rights (which may be brought in any court of competent jurisdiction), you and Wiro agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall take place in San Francisco, California. The arbitrator's decision shall be final and binding.
No Class Actions. YOU AND WIRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.
Waiver of Jury Trial. YOU AND WIRO EACH WAIVE THE RIGHT TO A TRIAL BY JURY.
Severability. If any provision of this arbitration clause is found to be unenforceable, the unenforceable provision shall be severed, and the remaining arbitration terms shall be enforced. If the entirety of this section is found to be unenforceable, the exclusive jurisdiction and venue described in Section 27 will govern any action arising out of or related to these Terms.

-
Waiver And Severability
No waiver by Company of any term or condition set forth in Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Company to assert a right or provision under Terms shall not constitute a waiver of such right or provision.
If any provision of Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.
