iOS Terms of Service

  1. Introduction

These Terms of Service (“Terms”, “Terms of Service”) govern your use of agerta.com and the Agerta iOS application, operated by Wiro AI Inc. (“Wiro”, “Company”, “we”, “our”, “us”).

Agerta is the agentic office. You hire AI teammates that do the work across your tools, and you approve what matters, within the Approval Mode you choose for each teammate. You, or a team workspace you belong to, can hire teammates such as a Store Manager, Video Producer, Newsletter Writer, or Blog Writer (other roles may be added later). Each teammate chats with you, does work for you, and acts in the accounts you connect.

These mobile Terms supplement and incorporate Agerta's general Terms of Service, including its provisions on AI Models, Customer Data, Teammates, Connected Accounts and Approval Modes, the Office and Hand-offs, Service Credits, team Workspaces, connected third-party services, prohibited uses, indemnification, warranty disclaimers, and limitations of liability. These provisions apply in full when you use the Service through the application. Capitalized terms defined in the general Terms, such as Teammate, Plan, Workspace, Connected Account, Chat Channel, Approval Mode, Hand-off, and Service Credit, have the same meaning in these mobile Terms. If these mobile Terms conflict with the general Terms, these mobile Terms control only for Apple App Store billing and subscription matters.

Our iOS Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of the application. Please read it here.

Your agreement with us includes these Terms, the incorporated general Terms, our Privacy Policy, and our Service Credit Terms (“Agreements”). You acknowledge that you have read and understood the Agreements and agree to be bound by them.

If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing [email protected] so we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use Service.

  1. Communications

When you create an Account on our Service, we will send you emails that are needed to provide the Service, such as sign-in and verification codes, password reset codes, team invitations, and notices about your account. Our payment processor may send you receipts and invoices for your Purchases. We may also send you news or promotional messages about Agerta where applicable law allows; you may opt out of these at any time by following the unsubscribe link or by emailing [email protected].

  1. Purchases

If you wish to purchase any product or service made available through Service (“Purchase”), such as a Teammate's Plan or an extra credit pack, you will complete the Purchase on the checkout page of our payment processor, Stripe, unless you buy it through the Apple App Store as described in Section 4. You may be asked to supply certain information relevant to your Purchase including, without limitation, your payment card details, your billing name and address, and, optionally, a tax ID. Prices are stated in US dollars. Prices shown in the Service may not include applicable taxes, which may be added at checkout.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

We employ the use of third-party payment processors, including Stripe, for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy. If a payment processor acts as the seller or merchant of record for a Purchase, its terms for buyers also apply to that Purchase. Any Purchase you make through the Apple App Store is processed by Apple under its terms.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

  1. Subscriptions

Each Teammate is billed as a separate subscription on its own Plan (“Subscription(s)”). You will be billed in advance on a recurring monthly basis (“Billing Cycle”), starting on the day you hire the Teammate. Payment is taken first, and the Teammate is set up after the payment is confirmed. If you hire several Teammates, each one has its own Subscription and its own Billing Cycle.

At the end of each Billing Cycle, a Subscription will automatically renew under the exact same conditions unless you cancel it or Wiro cancels it. You may cancel a Teammate's Subscription bought on agerta.com from that Teammate's page in the Service. You may also be able to manage those Subscriptions and your payment details through the Stripe billing portal, which you can open from the Billing page of your personal workspace, or you may contact Agerta customer support at [email protected]. A Teammate whose Subscription you cancel keeps working until the end of the Billing Cycle you have already paid for, and you may undo the cancellation from the Teammate's page before then. When the Subscription ends, the Teammate stops working and its remaining Service Credits can no longer be used. Only the person who hired and pays for a Teammate may cancel or renew its Subscription. If you delete your account, every Subscription you pay for through Stripe is cancelled immediately, as described in Section 16.

A valid payment method, including credit card, is required to process the payment for your subscription. You shall provide Wiro with accurate and complete billing information, including the billing name and address requested at checkout, and a valid payment method. By submitting such payment information, you authorize Wiro and its payment processor to charge the Subscription fees of each Teammate Subscription you start to such payment instruments, including at each renewal.

If a renewal payment fails, Wiro or its payment processor may retry the payment and may ask you to update your payment method. A Teammate may keep working while a failed payment is being retried. If the payment is still not made, the Teammate's Subscription ends and the Teammate stops working.

App Store Subscription Terms

If the Agerta iOS application offers a Teammate Subscription as an auto-renewable in-app purchase and you buy it through the Apple App Store, the following also applies to that Subscription:

-Billing and Renewal
Subscriptions bought through the App Store renew monthly unless you cancel at least 24 hours before the end of the current billing cycle.
Payment is charged to your Apple ID account at confirmation of purchase.
Your account is charged for renewal within 24 hours prior to the end of the current subscription period.

-Cancellation
You can manage or cancel a Subscription bought through the App Store anytime through your Apple ID account settings.
Deleting your Agerta account or the application does not cancel a Subscription bought through the App Store.
Cancellation takes effect at the end of the current billing cycle, and the Teammate keeps working until that time.
We do not offer refunds or credits for any amounts already billed or paid, except where required by applicable law or as described in Section 6.

-Pricing Changes
We reserve the right to change our Subscription pricing at any time.
Any price change will apply to your next subscription period, or 30 days after notice, whichever is later.

-No Refund Policy
All payments are final and non-refundable, except where required by applicable law or as described in Section 6.
By continuing your Subscription, you acknowledge and agree that, except as stated above, you will not receive a refund or credit once billing has occurred.

  1. Fee Changes

Wiro, in its sole discretion and at any time, may modify the Subscription fees of Teammate Plans and the rates at which the work Teammates do uses Service Credits. Any Subscription fee change will become effective at the end of the then-current Billing Cycle of each affected Teammate. A change to credit rates applies to work done after the change.

Wiro will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to cancel the affected Subscription before such change becomes effective.

Your continued use of a Teammate after its Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

  1. Refunds

All sales of Subscriptions and Service Credits are final. Subscription fees and Service Credits are not refundable except where required by applicable law or as described in this Section. Cancelling a Subscription stops its next renewal and does not refund the current Billing Cycle. Deleting your account cancels every Subscription you pay for through Stripe immediately and does not refund the current Billing Cycle or any unused Service Credits. If we cannot set up a Teammate you have paid for, or cannot add an extra credit pack you have paid for, we will refund that payment. Refund requests for purchases made through the Apple App Store are handled by Apple under its own policies. Please refer to our Service Credit Terms for complete details.

  1. Content

Our Service allows you to submit prompts, data, files, and other materials (“Inputs”) to Teammates and the artificial intelligence models they use (“Models”) and receive generated materials (“Outputs”), as well as post, link, store, share, publish, distribute, display, or otherwise make available other material (“Content”). Inputs, Outputs, and Content are collectively your Customer Data.

You are solely responsible for every Input you submit and for all Customer Data. This includes its legality, accuracy, quality, and appropriateness; obtaining all required rights, licenses, permissions, notices, and consents; and ensuring it does not violate these Terms, applicable law, or another person's rights.

You are solely responsible for reviewing every Output and for every decision, action, omission, publication, distribution, display, communication, commercialization, automated process, or other use of or reliance on an Output. You must apply qualified human review where appropriate and before using an Output in any context that may affect a person's rights, health, safety, finances, employment, education, legal interests, or access to essential services.

Outputs are generated automatically by Models. Wiro does not review or approve each Output before delivery and does not endorse, adopt, or warrant any Output. To the maximum extent permitted by applicable law, Wiro assumes no responsibility or liability for any Input, Output, Customer Data, or any use of or reliance on them. This applies whether a Model is developed, hosted, or operated by Wiro or by a third party.

These responsibilities apply to every way you use the Service and its Models, including chatting with a Teammate in the web chat, in the application, or in a connected Chat Channel, sending Hand-offs, work a Teammate does on its own or on a schedule, actions a Teammate takes in your Connected Accounts, API requests, and integrations. Using a Model through a Teammate, schedule, integration, or other intermediary does not shift any responsibility for Inputs, reviewing Outputs, or downstream use to Wiro.

You represent and warrant that you own or otherwise have all rights necessary for your Inputs and for any use you make of Outputs. You retain any rights you have in Customer Data. You grant Wiro a worldwide, non-exclusive, royalty-free license to use, process, store, transmit, reproduce, and technically modify Customer Data only as necessary to provide, secure, maintain, and improve the Service, comply with law, and exercise our rights under these Terms.

Wiro has the right but not the obligation to monitor and edit all Content provided by users.

  1. Prohibited Uses

You may use Service only for lawful purposes and in accordance with Terms. You agree not to use Service:

  1. In any way that violates any applicable national or international law or regulation.

  2. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.

  3. To send unsolicited bulk messages or spam, including emailing people without the consent or other legal basis that applicable law requires, importing contacts who have not agreed to receive your messages, removing unsubscribe links or sender identification, or otherwise violating anti-spam laws or the policies of your email or messaging provider. You are responsible for having the consent required for every contact list you use with the Service.

  4. To impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity.

  5. In a way that presents a Teammate as a human, or without telling people that they are dealing with AI or with AI-generated content where applicable law requires such disclosure (for example, rules on AI interactions and synthetic media such as Article 50 of the EU AI Act). You are responsible for making any such disclosure and should not rely on the Service to add it to Outputs for you.

  6. In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

  7. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of Service, or which, as determined by us, may harm or offend Company or users of Service or expose them to liability.

Additionally, you agree not to:

  1. Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party’s use of Service, including their ability to engage in real time activities through Service.

  2. Use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service, other than through the API and the features we provide for that purpose.

  3. Use any manual process to monitor or copy any of the material on Service or for any other unauthorized purpose without our prior written consent.

  4. Use any device, software, or routine that interferes with the proper working of Service.

  5. Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.

  6. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.

  7. Attack Service via a denial-of-service attack or a distributed denial-of-service attack.

  8. Create, publish, buy, or sell fake customer reviews, ratings, testimonials, or endorsements, including AI-written reviews or quotes presented as coming from a customer, or take any action that may damage or falsify Company rating. Teammates are designed to refuse requests for fake reviews, but you remain responsible for everything you publish.

  9. Connect an account that you are not authorized to use, or use a Teammate to get around the security checks, access controls, age restrictions, or terms of another website or service.

  10. Otherwise attempt to interfere with the proper working of Service.

  1. Eligibility

You may use the Service only if you are able to form a binding contract with Wiro and are not barred from using the Service under the laws that apply to you. By accessing or using the Service, you represent that you have the full authority, right, and capacity to enter into these Terms and to abide by all of their terms and conditions. If you use the Service on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms.

The Service is built for businesses and professionals and is not directed to children. We do not knowingly collect personal data from children, as described in our iOS Privacy Policy.

  1. Accounts

When you create an account with us, you guarantee that you are able to form a binding contract as described in Section 9, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

  1. Intellectual Property

Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Wiro and its licensors. Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Wiro.

  1. Error Reporting and Feedback

You may provide us directly at [email protected] with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service (“Feedback”). You acknowledge and agree that: (i) you shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback; (ii) Company may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential information or proprietary information from you or any third party; and (iv) Company is not under any obligation of confidentiality with respect to the Feedback. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Company and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose.

  1. Links To Other Web Sites

Our Service may contain links to third party web sites or services that are not owned or controlled by Wiro.

Wiro has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

YOU ACKNOWLEDGE AND AGREE THAT Wiro SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH USE OF OR RELIANCE ON ANY SUCH CONTENT, GOODS OR SERVICES AVAILABLE ON OR THROUGH ANY SUCH THIRD PARTY WEB SITES OR SERVICES.

WE STRONGLY ADVISE YOU TO READ THE TERMS OF SERVICE AND PRIVACY POLICIES OF ANY THIRD PARTY WEB SITES OR SERVICES THAT YOU VISIT.

  1. Disclaimer Of Warranty

THESE SERVICES ARE PROVIDED BY COMPANY ON AN “AS IS” AND “AS AVAILABLE” BASIS. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.

NEITHER COMPANY NOR ANY PERSON ASSOCIATED WITH COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER COMPANY NOR ANYONE ASSOCIATED WITH COMPANY REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

OUTPUTS ARE GENERATED AUTOMATICALLY BY ARTIFICIAL INTELLIGENCE AND MAY BE INACCURATE, INCOMPLETE, MISLEADING, OFFENSIVE, INFRINGING, UNSAFE, OR OTHERWISE UNSUITABLE. COMPANY DOES NOT REVIEW OR APPROVE EACH OUTPUT BEFORE DELIVERY AND DOES NOT ENDORSE, ADOPT, OR GUARANTEE ANY OUTPUT FROM A WIRO OR THIRD-PARTY MODEL. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING OUTPUTS AND FOR ALL USE OF OR RELIANCE ON THEM.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

  1. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY CLAIM, LOSS, DAMAGE, COST, OR EXPENSE ARISING FROM OR RELATED TO ANY INPUT, OUTPUT, OR ANY DECISION, ACTION, OMISSION, PUBLICATION, DISTRIBUTION, COMMUNICATION, COMMERCIALIZATION, AUTOMATED PROCESS, OR OTHER USE OF OR RELIANCE ON AN OUTPUT, OR ANY ACTION A TEAMMATE TAKES IN A CONNECTED ACCOUNT OR CHAT CHANNEL, INCLUDING ACTIONS TAKEN UNDER AN APPROVAL MODE YOU CHOSE, AT A REQUEST MADE BY YOU OR A MEMBER OF YOUR WORKSPACE, OR IN A SCHEDULED RUN. THIS APPLIES TO OUTPUTS FROM BOTH WIRO AND THIRD-PARTY MODELS, SUBJECT TO RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

EXCEPT AS PROHIBITED BY LAW, YOU WILL HOLD US AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, HOWEVER IT ARISES (INCLUDING ATTORNEYS' FEES AND ALL RELATED COSTS AND EXPENSES OF LITIGATION AND ARBITRATION, OR AT TRIAL OR ON APPEAL, IF ANY, WHETHER OR NOT LITIGATION OR ARBITRATION IS INSTITUTED), WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING FROM THIS AGREEMENT AND ANY VIOLATION BY YOU OF ANY FEDERAL, STATE, OR LOCAL LAWS, STATUTES, RULES, OR REGULATIONS, EVEN IF COMPANY HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF COMPANY, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

  1. Termination

We may terminate or suspend your account and bar access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.

If you wish to stop paying for a Teammate, cancel its Subscription from that Teammate's page or, for a Subscription bought through the Apple App Store, in your Apple ID account settings; the Teammate keeps working until the end of the Billing Cycle you have already paid for. Subscriptions keep renewing until they are cancelled, so simply discontinuing your use of the Service or deleting the application does not cancel them.

You can delete your account from your account settings or request deletion as described on our Data Deletion page. When your account is deleted, whether you delete it yourself or we delete it at your request, every Subscription you pay for through Stripe is cancelled immediately, without a refund of the current Billing Cycle except where required by applicable law, and the Teammates you pay for stop working at once, including Teammates you have shared with a team Workspace. Their remaining Service Credits, including credits from extra credit packs, can no longer be used. We cannot cancel a Subscription bought through the Apple App Store, so cancel it in your Apple ID account settings before you delete your account, or Apple may keep charging you for it.

If we suspend or terminate your account, or suspend a Teammate (for example, after a chargeback, a suspected fraudulent transaction, or a breach of these Terms), the Subscriptions of the affected Teammates may be cancelled immediately and those Teammates stopped, without a refund except where required by applicable law.

All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

  1. Governing Law

These Terms shall be governed and construed in accordance with the laws of State of California without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. These mobile Terms, the incorporated general Terms, the Privacy Policy, and the Service Credit Terms constitute the entire agreement between us regarding the Service and supersede prior agreements on the same subject.

  1. Changes To Service

We reserve the right to withdraw or amend our Service, and any service or material we provide via Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of Service, or the entire Service, to users, including registered users.

  1. Amendments To Terms

We may amend Terms at any time by posting the amended terms on this site. It is your responsibility to review these Terms periodically.

Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use Service.

  1. Waiver And Severability

No waiver by Company of any term or condition set forth in Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Company to assert a right or provision under Terms shall not constitute a waiver of such right or provision.

If any provision of Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.

  1. Acknowledgement
